Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of FloWave ("Service," "we," "our," or "us"), a productivity platform available at flowaveapp.com. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Account Registration

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for any activities or actions under your account. You must immediately notify us of any unauthorized use of your account.

Subscription and Billing

Free Trial

FloWave offers a 7-day free trial for new users. During the trial period, you will have full access to all features of the Service. To start your free trial, you must provide valid payment information. You will not be charged during the trial period.

Paid Subscriptions

After your free trial ends, your subscription will automatically convert to a paid subscription at the rate you selected (monthly or annual). You authorize us to charge your payment method on a recurring basis according to your billing cycle. Subscription fees are billed in advance and are non-refundable except as expressly stated in these Terms.

Pricing

We reserve the right to change our pricing at any time. Price changes will not affect your current billing cycle and will take effect at the start of your next billing cycle. We will provide you with advance notice of any price changes.

Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. By providing payment information, you authorize Stripe to charge your payment method according to your subscription terms. You agree to pay all fees and applicable taxes associated with your subscription.

Cancellation and Refunds

Cancellation Policy

You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. If you cancel during your free trial, you will not be charged. If you cancel after your trial ends, your cancellation will take effect at the end of your current billing period, and you will retain access to the Service until that date. You will not receive a refund for the current billing period.

Refund Policy

No refunds are provided after the free trial period ends. All subscription fees are non-refundable once charged. We encourage you to fully explore the Service during your 7-day free trial before committing to a paid subscription. Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our sole discretion. If we terminate your account for cause, you will not be entitled to a refund of any fees paid.

User Content and Ownership

Your Content

You retain all ownership rights to the content you create using the Service, including flow session data, task descriptions, notes, goals, and templates ("User Content"). By using the Service, you grant us a limited, non-exclusive, royalty-free license to use, store, and process your User Content solely for the purpose of providing and improving the Service.

Our Content

The Service, including its design, features, functionality, text, graphics, logos, and software, is owned by FloWave and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

AI-Generated Content

The Service uses artificial intelligence to generate personalized coaching feedback and insights based on your session data. While we strive for accuracy, AI-generated content is provided "as is" and should not be considered professional advice. You are solely responsible for how you use and interpret AI-generated content.

Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit any harmful, offensive, or illegal content
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use automated scripts, bots, or other means to access the Service without permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service for any commercial purpose without our express written consent
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWAVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless FloWave and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service prior to the effective date of the changes. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FloWave regarding the Service and supersede all prior agreements and understandings, whether written or oral.
